All RELAYTO Affiliates are required to complete the ACPA and remain in compliance with these terms. This list contains everything you need to know to be a RELAYTO Affiliate, including resources, recommendations, and legal. In the event of any conflict or inconsistency between the terms and conditions hereof and any terms or conditions set forth in any other RELAYTO Affiliate Program Policies documents relating to the transactions contemplated in this RELAYTO Affiliate Program Policies document, the terms and conditions set forth in this RELAYTO Affiliate Program Policies document shall prevail. Commission 1. Commission rates for each Customer: TheAffiliate is entitled to a commission equal to 30% of a Customer Transaction and each subsequent Derivative Transaction* from the same Customer actually collected by RELAYTO for RELAYTOServices/Subscriptions purchased by the RELAYTO Customer during the first year Y1ofanysuchTransactions (“Commission”). * If a customer renews, upgrades/downgrades to a different subscription plan. In the subsequent 3 years Y2/Y3/Y4 after that initial Customer Transaction, the Affiliate is entitled to a commission rate equal to 25% of all Derivative Transactions actually collected for the subsequent 3 years Y2/Y3/Y4 until any of following events occur, which will terminate Affiliate’s right to any ongoing commission: (a) this Agreement is terminated due to a Party’s uncured breach, as of the effective date of termination,
(b) this Agreement is terminated due to Affiliate’s insolvency as of the effective date of termination, (c) the RELAYTO Customer’s Transaction or Derivative Transaction, or RELAYTO Service Agreement, terminates or expires, (d) the RELAYTO Customer ceases to use or subscribe to the RELAYTO Service, and (e) Affiliate terminates this Agreement for convenience, as of the effective date of termination. Example: New Customer X purchases a RELAYTO annual subscription for $10,000 (arbitrary price). The Affiliate is entitled to a $3,000 commission. When Customer X purchases (renews) in “Y2/Y3/Y4” for $10,000, the Affiliate is entitled to $2,500 commission in each of Y2/Y3/Y4. 2. Limitations a. For purchase commissions, you will receive commissions only for new customers who are not already in an active sales process with us at the time of the affiliate link click. b. Commissions will still be counted if a user starts on one domain and then signs up or purchases on another RELAYTO domain. c. Affiliate links may rely on cookies to track referrals. Therefore if cookies get cleared, wemaynotbeabletotracktheseevents. d. Cookie windows can last up to 90 days. e. Only affiliate links can be used to track referrals. Incorrect use of affiliate links will cause inability to track referrals. f. You cannot use affiliate links to refer clients you are servicing. As a RELAYTO affiliate, you also can't be a billing contact or user of the account referred. g. Fraudulent or stolen attribution is a non payable event. If we suspect fraud (for example, if we see that signups are all from the same city or IP address) we may require you to prove that the referrals are valid. Upgrades/downgrades Youreceive additional commission if a customer upgrades to a higher tiered product in the future. If a customer downgrades, you will receive the commission associated with that
downgrade. 4. Attribution In the event a single customer clicks two different affiliate links, the last affiliate gets the credit. Wedo,however,reserve the right to modify this in certain circumstances. PromotingRELAYTO 1. RELAYTObranding Do: Capitalize all letters in “RELAYTO”. This is important to maintaining consistent branding. DoNot:Usefalseormisleading statements on the benefits of using RELAYTO (e.g. “Get rich quick with RELAYTO”). Do not modify or adjust the RELAYTO wordmark or logo in any sort of marketing material you might create, including the creation of any visual badges or dual-logo lockups. 2. What to call yourself Aswehavemultiplewaystopartner with RELAYTO and several ways to reference those relationships, here are some guidelines around what you can and cannot call yourself within the RELAYTOAffiliate Program. Do: Say you’re a “RELAYTO Affiliate" or “Affiliate Marketer”. 3. Buying ads Youwill not purchase ads that direct to your site(s) or through an affiliate link that could be considered as competing with RELAYTO’s own advertising, including, but not limited to, our branded keywords. If running ads, you need to direct the ad to your own website (and not to RELAYTO.comorastandalonelandingpage). Policies that don’t fit into the other buckets 1. Survey participation: We would encourage you to participate in any affiliate-specific NPS surveys, industry surveys, marketing surveys, etc. as we request. 2. Sharing placements: When requested, you’ll share the places you’ve used your affiliate link. This includes, but is not limited to, links, screenshots, and email sends. 3. Purchasing RELAYTO yourself: One of the benefits of the Affiliate Program is we don’t require you to purchase RELAYTO products. Though if you decide to purchase, we require that you do not use your own affiliate link.
4. RELAYTO Partner Programs: If you’re also part of one of RELAYTO’s other commission programs, you will only receive commission for either that program or the affiliate channel program depending on whether you registered the lead or the customer went through your affiliate link. When working with clients, you are not allowed to use your affiliate link. 5. FTC disclosure: You must be FTC compliant and disclose in a clear way before the affiliate link that you will receive commission if someone clicks through and purchases. End
